1. Overview

These Terms of Service ("Terms") govern access to mynulive.com and purchases from Nülive. The website and Nülive brand are operated by ScaleFlow Inc., doing business as Nülive ("Nülive," "we," "us," or "our").

By accessing the website, creating an account, submitting an order, or using our services, you agree to these Terms and the policies incorporated by reference. If you do not agree, do not use the website or purchase products.

These Terms contain important exclusions, limitations of liability, automatic-renewal terms, refund restrictions, and customer responsibilities. Read them before placing an order.

Our ecommerce store is hosted by Shopify, which provides the online platform used to offer products and services.

2. Eligibility

You must be at least the age of majority in your place of residence and legally capable of entering into a contract to place an order. You may not use the website or products for an unlawful, fraudulent, or unauthorized purpose.

3. Products and Intended Use

Nülive products must be used only as directed on the product label. Do not exceed the labeled serving. Keep products out of reach of children and do not use a product if its seal is missing, damaged, or compromised.

Consult a qualified healthcare professional before use if you have a medical condition, take medication or other supplements, are pregnant or nursing, are scheduled for a procedure, or have special dietary needs. Stop use and seek medical guidance if an adverse reaction is suspected. In an emergency, contact emergency services or a poison-control centre immediately.

4. Health Disclaimer

Information provided through the website, advertisements, emails, social media, customer support, guides, and product materials is for general educational purposes. It is not medical advice and is not a substitute for examination, diagnosis, or treatment by a qualified healthcare professional.

Nülive products are not intended to diagnose, treat, cure, or prevent disease. Statements about structure, function, nutrition, wellness, or customer experiences do not promise a particular result. Individual results vary based on factors including age, diet, health, genetics, medications, and consistency of use.

Testimonials, reviews, photographs, and descriptions of customer experiences represent individual experiences and are not guarantees that another person will obtain the same result.

5. Product Information

We make reasonable efforts to present product descriptions, photographs, ingredients, quantities, instructions, availability, and pricing accurately. Packaging, labels, scoop appearance, colors, and minor product details may change. Device displays may not reproduce colors exactly.

We may correct errors, update information, limit quantities, modify or discontinue products, or cancel an affected order. If we cancel a paid order, we will refund the amount charged for that order.

We are not required to honor a price, discount, promotion, description, or availability statement that is plainly erroneous, unauthorized, expired, or caused by a technical or typographical error.

6. Orders, Acceptance, and Contract Formation

An order confirmation acknowledges receipt of an order; it does not necessarily constitute acceptance. We may accept, reject, limit, or cancel an order for legitimate reasons including inventory limitations, pricing or listing errors, suspected fraud, unauthorized resale, payment problems, shipping restrictions, or legal requirements.

The contract of sale is formed only when we accept the order by sending an acceptance or shipment confirmation, or by shipping the order. If we reject or cancel a paid order before acceptance, our only obligation is to refund the amount charged for that order.

We may limit purchases by person, household, account, payment method, billing address, shipping address, or order. Products are sold for personal use and not for unauthorized resale or redistribution.

7. Prices, Currency, and Taxes

Prices and available currencies are shown during checkout. Customers are responsible for reviewing the currency and total before submitting an order. Banks and payment providers may apply conversion rates or fees that we do not control.

Applicable shipping charges and taxes are shown during checkout when collected by us. International duties, brokerage charges, and import taxes may be collected separately by local authorities or carriers and are the customer's responsibility unless expressly stated otherwise.

8. Payments

By submitting payment information, you represent that you are authorized to use the selected payment method and authorize us and our payment providers to charge the total shown at checkout. We may use payment-verification and fraud-prevention services.

You are responsible for bank fees, foreign-exchange fees, overdraft fees, insufficient-funds fees, and other charges imposed by your financial institution. Those fees are not charged or refunded by Nülive.

For subscriptions, the customer's issuer or payment network may provide updated card information through an account-updater service. We and our payment providers may use that updated information to process charges the customer previously authorized, unless the customer opts out through the issuer where available.

9. Subscriptions

Subscriptions renew automatically until cancelled. By purchasing a subscription, you authorize recurring charges at the price and frequency disclosed before checkout and confirmed after enrollment. Subscription terms, cancellation methods, renewal orders, failed payments, and first-order promotions are governed by our Subscription Policy, which is incorporated into these Terms.

Failure to use, notice, remember, or cancel a subscription does not revoke prior authorization for a properly disclosed renewal charge.

10. Promotions and Gifts

Promotions may be subject to separate terms, eligibility requirements, dates, quantity limits, and exclusions. Unless stated otherwise, promotions cannot be combined, have no cash value, and may be modified or withdrawn before an order is placed.

Items described as first-order gifts are provided only with the qualifying first order and are not included in subscription renewals. If a paid order is cancelled, returned, refunded, or determined to be ineligible, we may require return of the associated gift or deduct its stated value where permitted by law and clearly disclosed.

11. Shipping, Returns, and Refunds

Our Shipping Policy, Refund Policy, and Subscription & Cancellation Policy form part of these Terms. Please review them before purchasing.

Title and risk of loss transfer to the customer upon confirmed delivery to the shipping address supplied at checkout, except where mandatory law provides otherwise. Carrier transit times are estimates and are not guaranteed.

12. Accounts and Security

You are responsible for maintaining the confidentiality of account credentials and for activity performed through your account. Notify us promptly of suspected unauthorized access. We may suspend or restrict an account when reasonably necessary to protect customers, the business, or the website.

13. Customer Communications

You agree that order, account, safety, subscription, and service communications may be sent electronically to the contact information you provide. Transactional communications are not marketing messages and may be sent even if you unsubscribe from promotional emails.

Marketing communications are governed by applicable consent requirements and our Privacy Policy. You may unsubscribe through the link in a marketing email.

14. Reviews and User Content

If you submit a review, photograph, video, testimonial, comment, or other content, you represent that it is truthful, based on genuine experience, and does not violate another person's rights or applicable law.

You grant ScaleFlow Inc. a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, reproduce, adapt, publish, translate, distribute, and display submitted content for operating, improving, and promoting Nülive, subject to applicable privacy and publicity laws. You retain ownership of your content. We may moderate or remove content but are not required to publish it.

15. Intellectual Property

The website and its text, graphics, photographs, videos, product names, logos, designs, downloads, and other content are owned by or licensed to ScaleFlow Inc. and are protected by intellectual-property laws. Except for personal, non-commercial use of the website, no content may be copied, reproduced, modified, distributed, scraped, sold, or exploited without written permission.

16. Prohibited Conduct

You may not:

• use the website or products unlawfully or fraudulently;
• interfere with website security or operation;
• introduce malicious code;
• scrape, crawl, or harvest content or personal information except as legally permitted;
• impersonate another person or submit false order information;
• misuse promotions, refunds, chargebacks, subscriptions, or the 90-day guarantee;
• infringe intellectual-property, privacy, publicity, or other rights; or
• resell products without written authorization.

17. Third-Party Services and Links

The website may use or link to third-party services, including payment processors, subscription providers, carriers, analytics providers, and social platforms. Third-party services are governed by their own terms and privacy practices. We are not responsible for independent third-party websites or services, except to the extent required by law.

18. Disclaimer of Warranties

To the fullest extent permitted by law, the website, content, and products are provided "as is" and "as available," except for any express written guarantee we provide. We do not warrant that the website will be uninterrupted, error-free, or completely secure, or that a product will produce a particular result.

Nothing in these Terms excludes statutory warranties, guarantees, or consumer rights that cannot legally be excluded.

19. Limitation of Liability

To the fullest extent permitted by law, ScaleFlow Inc. and its directors, officers, employees, affiliates, contractors, service providers, suppliers, and licensors will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost data, loss of opportunity, or replacement costs, arising from the website, content, products, or services.

To the fullest extent permitted by law, aggregate liability relating to an order or use of the website will not exceed the amount the customer paid to Nülive for the order giving rise to the claim.

No statement by customer support modifies this limitation unless the modification is expressly confirmed in writing by an authorized representative of ScaleFlow Inc.

These limitations do not apply where liability cannot legally be limited, including liability arising from fraud, intentional misconduct, gross negligence, death or personal injury where applicable, or non-waivable consumer rights.

20. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless ScaleFlow Inc. and its affiliates, personnel, and service providers from third-party claims, liabilities, damages, and reasonable costs arising from your unlawful use of the website, violation of these Terms, infringement of another person's rights, unauthorized resale, or misuse of a product contrary to its label.

21. Chargebacks and Payment Disputes

Contact support@mynulive.com first if you do not recognize a charge or believe an order was incorrect. We will investigate legitimate concerns. Nothing in these Terms removes any lawful right to dispute a charge. Knowingly submitting a false chargeback, duplicate refund claim, or fraudulent payment dispute may result in suspension of services and submission of relevant transaction records to the payment provider or authorities.

22. Personal Use; No Unauthorized Resale or Export

Products are sold for personal or household use. You may not purchase products for unauthorized resale, redistribution, relabeling, commercial export, or use in violation of applicable laws. We may cancel suspected reseller or diversion orders, limit quantities, and refuse future service.

23. Force Majeure

We are not responsible for delay or failure caused by events beyond our reasonable control, including natural disasters, severe weather, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, government action, customs action, labor disputes, transportation interruption, carrier failure, supply shortage, telecommunications failure, or power outage. This clause does not limit rights that cannot legally be waived.

24. Applicable Law

These Terms, the website, and all purchases are governed by applicable law. Nothing in these Terms deprives a consumer of mandatory protections or dispute rights that cannot legally be waived.

25. Severability and Waiver

If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver.

26. Assignment, Survival, and Entire Agreement

You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a merger, reorganization, financing, sale of assets, or transfer of the Nülive business.

Provisions that by their nature should survive termination—including payment obligations, intellectual property, disclaimers, limitations of liability, indemnification, dispute terms, and fraud protections—will survive.

These Terms, the order confirmation, and the policies incorporated by reference constitute the entire agreement concerning the website and purchase, superseding prior discussions or communications on the same subject. If an order confirmation expressly conflicts with these Terms, the order confirmation controls only for that specific order.

27. Electronic Communications and Signatures

You consent to receiving agreements, disclosures, notices, order confirmations, subscription communications, and other records electronically. Electronic acceptance, checkboxes, and records have the same effect as paper documents and handwritten signatures to the extent permitted by law.

28. Changes

We may update these Terms by posting a revised version and changing the "Last updated" date. Material changes to an active subscription will be communicated as required by law. Changes do not retroactively alter an order already completed unless agreed or legally required.
